These Terms of Service (“Terms”) govern your access to and use of the services provided by MedspAI, LLC (“MedspAI,” “we,” “us,” or “our”), including our AI receptionist, communication platform, and related software and services (collectively, the “Services”). By accessing or using the Services, or by clicking to accept these Terms, you (“you,” “your,” or “Customer”) agree to be bound by these Terms. If you do not agree, you may not use the Services.
1. The Services
MedspAI provides an AI-powered receptionist and communication platform designed for medical spas and similar businesses. The Services may include AI voice reception for inbound and outbound calls, SMS messaging, appointment scheduling and calendar integration, customer relationship management, telephony infrastructure, and related features. We may add, modify, or discontinue features from time to time.
2. Eligibility and Accounts
You must be at least 18 years old and authorized to enter into these Terms on behalf of the business you represent. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information and to keep it updated.
3. Customer Responsibilities
You are responsible for your use of the Services and for ensuring that your use complies with all applicable laws and regulations, including those governing telephone and text-message communications (such as the Telephone Consumer Protection Act), consumer protection, and, where applicable, health information privacy. You are responsible for obtaining any necessary consents from your own customers before contacting them through the Services. You agree not to use the Services for any unlawful, harmful, deceptive, or abusive purpose, and not to interfere with or disrupt the integrity or performance of the Services.
4. Third-Party Services and Integrations
The Services integrate with third-party services, including Google Calendar, telephony providers, and payment processors. Your use of those third-party services is governed by their respective terms and privacy policies. When you connect a third-party account (such as Google Calendar), you authorize MedspAI to access and use that account as needed to provide the Services, consistent with our Privacy Policy and the permissions you grant. We are not responsible for third-party services and disclaim liability for their acts or omissions.
5. Fees and Payment
Access to the Services requires a paid subscription. Fees, billing cycles, and any commitment periods are as described in your applicable order, plan, or subscription agreement. Unless otherwise stated, fees are billed in advance and are non-refundable except as required by law or expressly provided in your subscription agreement. You authorize us to charge your designated payment method for all applicable fees. We may change our fees on a prospective basis with reasonable notice.
6. Term, Suspension, and Termination
These Terms remain in effect while you use the Services. You may cancel your subscription as provided in your subscription agreement. We may suspend or terminate your access to the Services, with or without notice, if you breach these Terms, fail to pay applicable fees, or use the Services in a manner that may cause harm or legal liability to us or others. Upon termination, your right to use the Services ceases. Provisions that by their nature should survive termination will survive.
7. Intellectual Property
The Services, including all software, content, and materials we provide, are owned by MedspAI or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription, solely for your internal business purposes. You retain ownership of the data and content you provide to the Services. You grant us a limited license to use that data as necessary to provide and improve the Services, consistent with our Privacy Policy.
8. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY AI-GENERATED OUTPUT WILL BE ACCURATE OR COMPLETE. YOU ARE RESPONSIBLE FOR REVIEWING AND VERIFYING THE RESULTS OF THE SERVICES BEFORE RELYING ON THEM.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDSPAI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
10. Indemnification
You agree to indemnify and hold harmless MedspAI and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Services, your violation of these Terms, or your violation of any law or the rights of any third party, including your own customers.
11. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the effective date above and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
12. Governing Law
These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in Utah.
